YINTA Technology Anti-Corruption Statement
上海赢他科技股份有限公司及其子公司、分支机构和代表处(以下称 “赢他科技” 或 “本公司”)认为商业腐败行为破坏市场公平竞争,对社会、经济及企业自身发展均会造成恶劣影响。赢他科技坚持诚信经营、恪守商业道德,严格遵守业务所在地及全球适用的反腐败法律法规,包括中国反腐败法律、《联合国反腐败公约》、美国《海外反腐败法》以及英国2010年《反贿赂法》等,对腐败行为持 零容忍 态度。公司在经营全过程坚守职业操守,绝不以支付或提供任何形式贿赂的方式,直接或间接谋取不当商业利益与影响。
Shanghai Yinta Technology Co., Ltd. and its subsidiaries, branches, and representative offices (hereinafter referred to as “YINTA Technology” or “the Company”) recognize that commercial corruption undermines fair market competition and has detrimental effects on society, the economy, and the sustainable development of enterprises. YINTA Technology is committed to conducting business with integrity, adhering strictly to ethical standards, and complying with all applicable anti-corruption laws and regulations in the jurisdictions in which it operates, including Chinese anti‑corruption laws, the United Nations Convention against Corruption (UNCAC), the United States Foreign Corrupt Practices Act (FCPA), and the UK Bribery Act 2010. The Company maintains a zero-tolerance policy toward any form of corrupt behavior. Throughout its operations, YINTA Technology upholds professional ethics and strictly prohibits offering or accepting bribes, directly or indirectly, to gain improper commercial advantages or influence.
赢他科技将建立并持续完善合规管理体系,采取有效措施防范商业腐败行为。公司要求全体员工严格遵守《赢他科技廉洁自律管理规定》,严禁员工或代表公司开展商业活动的实体与个人,以任何直接或间接方式向政府公职人员及其他第三方行贿以获取商业机会。若供应商、代理、顾问及其他商业伙伴存在上述违规行为,员工须坚决拒绝并第一时间向公司上报;公司已制定《赢他科技廉洁自律举报制度》与《赢他科技廉洁自律举报奖励办法》,保障合规监督落地。在业务合作中,公司将通过协议条款与管理流程,要求合作伙伴共同遵守本反腐败声明并约束自身行为。
YINTA Technology will establish and continuously improve its compliance management system and adopt effective measures to prevent commercial corruption. All employees are required to strictly comply with the YINTA Technology Code of Conduct on Integrity, which prohibits employees or any entities and individuals representing the Company from offering, directly or indirectly, any form of bribe to government officials or third parties to obtain business opportunities. Should any supplier, agent, consultant, or other business partner engage in such misconduct, employees are obliged to refuse immediately and report it to the Company without delay. The Company has implemented the YINTA Technology Integrity Reporting System and the YINTA Technology Integrity Reporting Reward Policy to ensure effective compliance oversight. In business cooperation, YINTA Technology will require partners to abide by this Anti-Corruption Statement and regulate their own conduct through contractual terms and management processes.
